Terms of Service

These Terms of Service ("Terms") govern your access to and use of Vivly - the API, SDK, MCP endpoint, market research interface, dashboards, documentation, and related services (collectively, the "Services") - operated by Concreate Technologies Private Limited (CIN: U72900KA2022PTC163147), an Indian Private Limited company with its registered office at G-1, SRS Prashanthi fields, P.O Road, Kadugodi, Bangalore, Karnataka, India, 560067 ("Vivly", "we", "us"). By creating an account or using the Services, you ("Customer", "you") agree to these Terms.

1. Eligibility and accounts

You may use the Services only if you are at least 18 years old and legally able to enter into a contract. Account credentials are personal to your organisation or to you as an individual subscriber; you are responsible for all activity under your account, including API calls made with your keys and queries made through the market research interface.

2. Description of the Services

Vivly provides structured signal derived from public web data through four access surfaces: an API and SDK for developers, an MCP endpoint for AI agents, and a self-serve market research interface for individual analysts, consultants, and operators. Customers consume the Services on a prepaid-credit basis: credits are purchased in advance and deducted as you make calls, queries, or interface interactions. The Services are intended for professional, research, and business use.

3. Credit balance and billing

Credits represent a prepaid accounting balance held against your Vivly account, used solely to consume Vivly Services. Credits are not money, are not redeemable for cash except as set out in the Refund Policy, are not transferable between unrelated accounts, and are not a stored-value instrument. Credit pricing, conversion rates, and consumption rates are published on the pricing page and may be updated on notice. Top-ups and subscription charges are processed through our payment processor; you authorise the charge at the point of top-up or subscription renewal.

4. Acceptable use

You will not use the Services to (a) violate any law or third-party right; (b) attempt to identify, profile, surveil, or harass any natural person; (c) re-export or resell raw data obtained through the Services to third parties; (d) circumvent rate limits, security controls, or terms imposed by the upstream data sources Vivly relies on; (e) build a competing service by systematic extraction of Vivly's outputs; (f) use the Services to make decisions that produce legal or similarly significant effects on individuals without a separate human review process; or (g) use the Services for any purpose prohibited under our Acceptable Use Policy. We may suspend or terminate accounts for violation.

5. Customer data and outputs

You retain ownership of any data you submit to the Services. You grant Vivly a limited, non-exclusive licence to use submitted data solely to provide the Services. Outputs returned by the Services are licensed to you for use within your organisation or personal practice, subject to clause 4. Vivly may use aggregated, de-identified usage data to operate and improve the Services.

6. Intellectual property

Vivly, the Vivly marks, the Services, and the underlying software, models, and documentation are owned by Concreate Technologies Private Limited and its licensors. No rights are granted except as expressly stated.

7. Confidentiality

Each party will protect the other's confidential information using at least the same care it uses for its own, and will not disclose it except to personnel with a need to know.

8. Service levels and availability

Vivly aims to make the Services available on a reasonable-effort basis. Specific availability commitments, if any, are in the order form or a separate SLA. The Services are provided "as is" to the maximum extent permitted by law, subject to the warranties below.

9. Warranties and disclaimers

Vivly warrants that it will provide the Services with reasonable skill and care. Except for that warranty and any warranties that cannot be excluded under applicable law, all other warranties - express or implied, including fitness for purpose, merchantability, and non-infringement - are disclaimed.

10. Limitation of liability

To the maximum extent permitted by law, neither party will be liable for indirect, incidental, consequential, special, or punitive damages, including loss of profits, data, or business opportunities. Each party's aggregate liability under these Terms will not exceed the fees paid by Customer to Vivly in the twelve months preceding the event giving rise to the claim.

11. Indemnification

You will indemnify Vivly against claims arising from your use of the Services in breach of clause 4. Vivly will indemnify you against third-party claims that the Services as provided infringe a registered Indian intellectual-property right, subject to standard carve-outs.

12. Term and termination

These Terms apply from your first use of the Services until terminated. Either party may terminate for material breach uncured for 30 days. On termination, your right to access the Services ends and any unused credits will be handled per the Refund Policy.

13. Governing law and dispute resolution

These Terms are governed by the laws of India. The courts at Bengaluru, Karnataka, will have exclusive jurisdiction, subject to either party's right to seek injunctive relief in any competent court.

14. Changes

We may update these Terms from time to time. Material changes will be communicated by email to the account owner and posted on this page with an updated "Last updated" date.
